The U.S. Securities and Exchange Commission on Feb. 2, 2026, issued an order dismissing administrative proceedings against American CryptoFed DAO LLC, formally closing a matter tied to the firm’s attempted registration filings.
Matter stemmed from 2021 registration filings
The proceedings arose after American CryptoFed filed a Form 10 registration statement and a Form S-1 registration statement covering two crypto asset securities identified as “Ducat” and “Locke,” according to the SEC order.
SEC instituted administrative proceedings under Sections 12(j) and 8(d)
The Commission instituted proceedings in November 2021 under Section 12(j) of the Securities Exchange Act and later in November 2022 under Section 8(d) of the Securities Act.
Order terminates the proceedings
